Sonya Shaykhoun, Esq., NY-qualified attorney with 18+ years of international legal experience

I am a British-educated, NY-qualified attorney based in Manhattan, where I own my own law practice, the Law Offices of Sonya Shaykhoun, Esq. My practice focuses on technology, media, telecommunications, aviation, and compliance. I have worked on a lot of satellite projects.


From 2004 to 2019, I supported iconic global companies like Orbit (now OSN) and Charles Russell Speechlys in Bahrain and Al Jazeera Media Network and Qatar Airways in Qatar.


I have had the privilege of working on some fascinating projects all around the world working with world-class counterparts. Over the course of my career, I have amassed a wealth of contract negotiation and drafting knowledge and skills and it is time to pass them on.

In this 90-minute module, you will learn a macro approach to contract negotiation and drafting, including:



  • The NDA review & execution
  • Different types of contracts
  • Questions to ask before you start the negotiation
  • When to negotiate collaboratively & when to do it combatively
  • Setting the cadence
  • What to look for


You'll do an in-class negotiation.

Elements of the Contract

In this 90-minute module, you will learn about the basic elements of the contract, including:



  • How to start - the top of the contract (parties, effective date)
  • Recitals and their purpose
  • Definitions & interpretation section
  • Analysis of key Commercial provisions
  • Analysis of boilerplates
  • Annexes


You will also learn some writing tips.

Issue Spotting: The Initial Review

In this 90-minute module, you will learn how to do the first issue-spotting redline commentary on the contract draft, including:


  • How to redline with confidence
  • How to comment with confidence
  • Issue spotting: key provisions
  • Getting input from your team & senior management


You will have an opportunity to apply the lessons of this module in class.

A Closer Look at Key Provisions

In this 90-minute module, you will have an opportunity to take a closer look at some "key" provisions and their implications, including:



  • How to incorporate the Recitals so they are meaningful
  • Scope of the Contract
  • The Term and Termination
  • Payment Terms
  • Governing Law


You will have the chance to apply the lessons from this and previous modules.

In this 90-minute module, you will look more closely at additional key provisions including:



  • Conditions precedent
  • Conditions consequent
  • Guarantees
  • Damages
  • Indemnities
  • Representations and warranties
  • Statements of Work
  • Exhibits, annexes, attachments, etc.


You will also have the chance to ask questions and apply the lessons of this module in class.

In this 90-minute module, you will:


  • do an in-class negotiation
  • memorialize the negotiation in a mock contract applying the skills you learned in previous modules
